Terms of Use

These Terms of Use (“Terms”) govern access to cevansolutions.com, C Evan Solutions services, and the C Evan Ops operational software (collectively, the “Services”). By using the Services or authorizing a connected account, you agree to these Terms. If you use the Services for a business, you represent that you have authority to bind that business.

Services and authorized use

C Evan Solutions provides IT support, operational tools, and related professional services. C Evan Ops is intended for authorized business owners and personnel. You may use the Services only for lawful business purposes and only with accounts, systems, and data you are authorized to access.

You must provide accurate information, protect your credentials and devices, maintain appropriate permissions for your personnel, and promptly report suspected unauthorized access. You may not bypass security controls, introduce malicious code, disrupt the Services, scrape them unlawfully, misuse another party’s data, or use the Services to violate law or third-party rights.

QuickBooks Online connection

The current C Evan Ops production QuickBooks connection is read-only. With your authorization, it may retrieve selected QuickBooks company, account, report, transaction-summary, and tax-readiness information for operational views and alerts. It does not create or change invoices, payments, payroll, journal entries, transfers, tax filings, or other accounting records. Any future write capability would require separate implementation, controls, and authorization.

You choose the Intuit company and permissions presented during authorization. You may disconnect through C Evan Ops or revoke access through Intuit. You remain responsible for your Intuit subscription, authorized users, source data, and compliance with Intuit’s terms.

No accounting, tax, legal, or financial advice

The Services provide operational information and technical assistance, not accounting, tax, legal, investment, lending, or financial advice. Reports, alerts, and summaries may be incomplete, delayed, or affected by source data. You are responsible for reviewing information in QuickBooks and consulting qualified professionals before making financial, tax, payroll, filing, or legal decisions.

Professional services and fees

Specific projects, support plans, pricing, payment terms, deliverables, and service levels may be governed by a proposal, statement of work, order, invoice, or other written agreement. If another written agreement conflicts with these Terms, that agreement controls for the applicable Services.

Third-party services

The Services may interoperate with Intuit, hosting providers, communications providers, and other third parties. Their products are governed by their own terms, availability, security, and privacy practices. C Evan Solutions does not control third-party systems and is not responsible for changes, outages, or actions in those systems, except to the extent required by law or expressly stated in a written agreement.

Ownership and feedback

C Evan Solutions and its licensors retain all rights in the Services, software, branding, documentation, and improvements. Subject to these Terms and any applicable written agreement, we grant you a limited, non-exclusive, non-transferable right to use the Services for your internal business operations. You retain ownership of your business data. If you provide feedback, you allow us to use it to improve the Services without identifying you publicly.

Availability and changes

We work to operate the Services reliably, but do not promise uninterrupted or error-free availability unless a written service agreement says otherwise. We may maintain, modify, suspend, or discontinue features to address security, legal, provider, or operational needs. We will use reasonable efforts to avoid unnecessary disruption.

Suspension and termination

You may stop using the Services and disconnect linked accounts at any time. We may suspend or terminate access when reasonably necessary to protect the Services or others, respond to unlawful or unauthorized use, address nonpayment under an applicable agreement, or comply with law. Provisions that by their nature should survive termination will survive.

Disclaimers

To the maximum extent permitted by law, and except for express commitments in a written agreement, the Services are provided “as is” and “as available.” C Evan Solutions disclaims implied warranties of merchantability, fitness for a particular purpose, and non-infringement. Nothing in these Terms excludes warranties or rights that cannot lawfully be excluded.

Limitation of liability

To the maximum extent permitted by law, C Evan Solutions will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenues, goodwill, or data, arising from the Services. Our aggregate liability for a claim will not exceed the amount paid to C Evan Solutions for the affected Services during the twelve months before the event giving rise to the claim. These limits do not apply where prohibited by law or to liability that cannot lawfully be limited.

Governing law

These Terms are governed by the laws of the Commonwealth of Massachusetts, without regard to conflict-of-law rules, except where applicable law requires otherwise.

Changes and contact

We may update these Terms as the Services or legal requirements change. The updated version will be posted here with a revised effective date. Questions may be sent to contactus@cevansolutions.com.

QuickBooks Online integration

The QuickBooks Online integration is available only to an authorized business owner or administrator who has authority over the connected company. The owner remains responsible for reviewing the preview, confirming the accounting destination, and verifying the result in QuickBooks.

The current write feature is limited to an explicit create or update of a QuickBooks Customer from a private C Evan Ops Client screen. It performs exact-match and ambiguity checks before execution. It does not delete QuickBooks records, create charges, process payments, move money, post bank-feed transactions, reconcile accounts, or submit tax filings.

Every proposed write requires a separate owner approval. A stable request identifier and sanitized receipt are used to reduce duplicate execution and support troubleshooting. Failed or uncertain writes are not automatically repeated; the owner must review the result before deciding whether to retry.

Generative AI output is advisory and cannot authorize or execute QuickBooks writes. The owner may disconnect the integration at any time. C. Evan Solutions may pause the integration when authorization expires, provider errors make the result uncertain, or continued operation could produce inaccurate records.
